Nova AI Technologies Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "User," "you," or "your") and Nova AI Technologies, LLC ("Nova," "Company," "we," "our," or "us") governing your access to and use of Nova's software platform, services, and related technology (collectively, the "Service").

The Service includes, but is not limited to:

• Software applications
• Customer portals
• Data analytics tools
• Artificial intelligence tools
• Workflow automation
• Messaging and communications
• File storage and data hosting
• Reporting tools
• Subscription and billing management
• Custom-built solutions and integrations

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Service.

For purposes of these Terms:

"Service"

means the Nova platform and all related services.

"Customer"

means any individual or entity that subscribes to the Service.

"Authorized Users"

means employees, contractors, or customers authorized by the Customer.

"Customer Data"

means all data uploaded or submitted to the Service.

"Subscription Term"

means the billing period purchased.

"AI Services"

means artificial intelligence features provided by Nova.

Nova provides a cloud-based software-as-a-service platform designed to enable organizations to manage business operations, data, and communications.

Capabilities include:

• Data ingestion and processing
• Portal creation and management
• Workflow automation
• Messaging systems
• Artificial intelligence analysis
• File storage and sharing
• Reporting and analytics
• Customer management
• Subscription billing

Nova reserves the right to modify, improve, suspend, or discontinue any portion of the Service at any time.

Nova does not guarantee the Service will meet all Customer requirements.

To access the Service, you must create an account.

You agree to:

• Provide accurate information
• Maintain security of credentials
• Accept responsibility for all activity under your account

You are responsible for all actions taken by your Authorized Users.

Nova is not liable for unauthorized access resulting from your failure to secure your account.

Nova grants Customers the right to use the Service to provide portal access to their own customers for legitimate business purposes.

Customers may:

• Provide access to their customers
• Use Nova to operate their business services
• Deliver data and reports to their customers

Customers may not:

• Resell Nova as standalone software
• License Nova independently
• Reverse engineer the Service
• Duplicate Nova's platform

All portal usage must support Customer's own business operations.

Nova retains full ownership of the platform.

Access to Nova requires payment of subscription fees.

Fees may include:

• Platform subscription fees
• User seat fees
• Agency or portal fees
• Feature fees
• Usage fees
• Custom development fees

Payments are processed via third-party providers, including Stripe. You authorize recurring billing. Failure to pay may result in suspension or termination.

All payments are final.

Nova does not provide refunds, including:

• Subscription fees
• Partial billing periods
• Custom development fees
• Feature fees

No refunds will be issued for unused time. You acknowledge and accept this policy.

Customers may cancel their subscription at any time.

• Cancellation will take effect at the end of the current billing cycle.
• You will retain access until the billing cycle ends.
• No refunds will be issued.
• After cancellation, Nova may delete Customer Data.
• Nova is not responsible for data loss after cancellation.

Nova may provide custom development services, including:

• Custom portals
• Custom features
• Custom integrations

All custom development fees are non-refundable. Nova retains ownership of the platform. Customers receive a license to use custom features within Nova. Nova does not guarantee specific outcomes.

Customer retains ownership of Customer Data.

Customer grants Nova a license to store, process, analyze, and transmit Customer Data solely for providing the Service.

Nova does not sell Customer Data.

Nova provides AI-generated analysis. AI output:

• May contain errors
• Is not guaranteed accurate
• Is for informational purposes only

Nova is not liable for decisions based on AI output. Customer assumes all responsibility.

Customer agrees not to:

• Violate laws
• Upload illegal content
• Distribute malware
• Attempt unauthorized access
• Abuse the Service

Nova may suspend accounts that violate these restrictions.

Nova does not guarantee uninterrupted Service. Downtime may occur. Nova is not liable for downtime.

Nova implements reasonable safeguards. Nova does not guarantee prevention of data loss. Customer is responsible for maintaining their own backups.

Nova integrates third-party providers. Nova is not responsible for third-party failures.

Nova owns all platform technology. Customer receives a usage license only. No ownership transfer occurs.

Both parties agree to protect confidential information.

To the maximum extent permitted by law, Nova shall not be liable for:

• Lost profits
• Lost revenue
• Lost data
• Business interruption

Nova's total liability shall not exceed the amount paid in the previous three months.

Customer agrees to indemnify Nova against claims arising from Customer Data, Customer business, and Customer portal users.

The Service is provided "AS IS." Nova makes no warranties.

Nova may suspend accounts for violations or non-payment. Nova may delete data upon termination.

These Terms are governed by the laws of the State of Illinois.

Disputes shall be resolved by binding arbitration. No jury trial.

Nova is not liable for events outside its reasonable control.

Nova may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

Nova implements industry-standard security measures to protect your data:

• All data transmitted between your device and Nova is encrypted using TLS 1.2+ (HTTPS)
• All data stored in our databases is encrypted at rest using AES-256 encryption
• Authentication credentials are securely hashed using bcrypt
• API keys and secrets are stored securely and never exposed to client-side code
• Row Level Security (RLS) policies ensure users can only access their own data

While we implement robust security measures, no system is completely immune to all risks. You are responsible for maintaining the security of your account credentials.

Nova integrates with third-party services to provide functionality. These include:

• Supabase (database and authentication)
• Stripe (payment processing)
• Anthropic/OpenAI (AI processing via API)
• Vercel (hosting and infrastructure)

Important data handling commitments:

• AI providers (Anthropic, OpenAI) do not use API data for model training
• Your prompts and AI responses are not used to improve third-party AI models
• Payment data is handled securely by Stripe and never stored on our servers
• All third-party providers are contractually obligated to protect your data

These Terms constitute the full and complete agreement between the parties regarding use of the Service.
